Attorney – Boston Direct Counsel is seeking a Senior Associate
Attorney to join the Private Equity practice of a top-tier global
law firm in Boston. This is an exceptional opportunity to work with
an elite team on complex private equity transactions for leading
investors, funds, and portfolio companies. About the Role The
firm’s private equity group represents prominent private equity
sponsors, institutional investors, and management teams in a wide
range of transactions. The team handles leveraged buyouts, growth
equity investments, recapitalizations, and other sophisticated
deals across multiple industries. Key Responsibilities Lead and
manage all aspects of private equity transactions, including
preferred equity investments, leveraged buyouts, and add-on
acquisitions . Draft, review, and negotiate transaction documents,
including purchase agreements, investment agreements, and financing
arrangements. Advise clients on deal structuring and other
strategic considerations. Collaborate with cross-disciplinary teams
on tax, finance, and regulatory matters. Maintain strong client
relationships and oversee junior team members as needed.
Qualifications JD from a top-tier law school with strong academic
credentials. 5–7 years of private equity experience at a leading
law firm. Demonstrated ability to lead complex private equity and
M&A transactions. Excellent drafting, analytical, and
negotiation skills. Commercially minded with the ability to work
independently and directly with clients. Admitted to the
Massachusetts Bar or eligible to waive in. Compensation & Benefits
Base salary range: $365,000 – $420,000 , commensurate with
experience. Annual bonus eligibility and comprehensive benefits
